1. Introduction & Acceptance of Terms

Welcome to ConTrust. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Kai Arabia Company LLC, a company registered in the Kingdom of Saudi Arabia with Commercial Registration Number 7052141566 ("ConTrust," "we," "us," or "our").

By accessing or using the ConTrust platform, website, or any related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

These Terms apply to all users of the Services, including but not limited to registered users, visitors, and any other persons who access or use the Services.

We reserve the right to modify these Terms at any time. Updated Terms will be posted on the Platform with a revised "Last Updated" date. Your continued use of the Services after any modifications constitutes your acceptance of the updated Terms. It is your responsibility to review the Terms periodically. Pricing, Credit costs, and fee structures are not part of these Terms and may be changed at any time as displayed within the Platform. Changes to pricing do not affect Credits already purchased or services already in progress (such as active projects or active subscriptions for their current billing period).

2. Definitions

In these Terms, unless the context otherwise requires:

"Account" means a registered user account on the ConTrust platform.

"Client" means a project owner, developer, or other organization that evaluates and selects contractors for collaboration.

"Company" means the legal entity registered on the ConTrust platform through a User.

"Contractor" means a construction company that bids on projects, manages construction work, and may hire subcontractors to complete specialized tasks.

"Subcontractor" means a specialized construction company that performs specific work categories.

"User" means any individual who accesses or uses the Services, whether on behalf of themselves or a Company.

"Credits" means the virtual currency used within the ConTrust platform to access certain Services.

"Score Report" or "Report" means any scoring report, assessment, or analysis generated by ConTrust based on available data sources or information collected through the Platform.

"Platform" means the ConTrust web application and all associated features and functionalities.

"Services" means all products, features, and functionalities provided by ConTrust, including but not limited to the Platform, Score Reports, supply chain management tools, and related services.

3. Our Services

ConTrust provides a contractor intelligence and prequalification platform designed for the construction industry in Saudi Arabia. Our Services include, but are not limited to:

  • (a)Score Reports: Assessments of contractor business health, financial stability, compliance status, and operational capacity, based on available data sources including user-provided documents and third-party verification services.
  • (b)Supply Chain Management: Tools for monitoring and assessing companies participating in construction projects, including scoring of supply chain participants.
  • (c)Additional Tools and Features: Such other tools, features, and functionalities as may be made available through the Platform from time to time.

The specific features, data sources, methodologies, and user interface used in our Services may be updated, expanded, modified, or discontinued from time to time at our sole discretion without prior notice, except where such changes materially reduce the core functionality of Services you have already paid for.

4. User Accounts & Registration

4.1 Eligibility

To register for an Account, you must:

  • (a)Be a legal entity registered in the Kingdom of Saudi Arabia with a valid Commercial Registration (CR);
  • (b)Have the legal authority to bind the Company to these Terms;
  • (c)Provide accurate, current, and complete registration information;
  • (d)Be at least eighteen (18) years of age.

4.2 Account Registration

During registration, you will be required to provide certain information about yourself and your Company, including but not limited to company registration details, contact information, and business verification documents. You agree that all information provided is accurate and complete.

4.3 Account Security

You are responsible for:

  • (a)Maintaining the confidentiality of your Account credentials;
  • (b)All activities that occur under your Account;
  • (c)Notifying us immediately of any unauthorized access or use of your Account.

We are not liable for any loss or damage arising from your failure to protect your Account credentials.

4.4 Verification

We reserve the right to verify the information you provide and to request additional documentation at any time. Failure to provide requested documentation may result in suspension or termination of your Account.

5. User Representations

By using the Services, you represent and warrant that:

  • (a)You have the legal capacity and authority to enter into these Terms;
  • (b)You are not located in a country subject to international sanctions or designated as a "terrorist supporting" country;
  • (c)You are not listed on any government list of prohibited or restricted parties;
  • (d)All information you provide to us is true, accurate, current, and complete;
  • (e)You will maintain the accuracy of such information and promptly update it as necessary;
  • (f)You will comply with all applicable laws and regulations in your use of the Services;
  • (g)You will not use the Services for any illegal or unauthorized purpose;
  • (h)Your use of the Services will not violate any applicable law or regulation in the Kingdom of Saudi Arabia.

6. User Roles & Permissions

6.1 Company Roles

The Platform supports three primary Company roles:

  • (a)Client: A project owner, developer, or other organization that evaluates and selects contractors for collaboration.
  • (b)Contractor: Construction companies that bid on and execute projects, and may engage subcontractors.
  • (c)Subcontractor: Specialized construction companies that perform specific work under contract.

Each role has access to different features and functionalities as determined by ConTrust and as may be modified from time to time.

6.2 User Roles Within a Company

Each Company Account supports the following user roles:

  • (a)Admin: Full access to all Company features, including account management, user management, and account deletion.
  • (b)General: Access to all Company features except account deletion and user management.

The first User to register a Company is automatically assigned the Admin role. Only Admin users may invite additional users or modify user roles.

7. Team Management

7.1 Team Size

Each Company Account may have a maximum number of users as determined by ConTrust and communicated during registration or within the Platform.

7.2 User Invitations

Admin users may invite additional users to join their Company Account. Invited users must complete registration and accept these Terms before gaining access.

7.3 User Removal

Admin users may remove other users from the Company Account at any time. Removed users will immediately lose access to all Company data and Services.

7.4 Responsibility

The Company and its Admin users are responsible for all actions taken by users within their Company Account.

8. Credit System & Payments

8.1 Credits

Certain Services require Credits. Credits may be purchased through the Platform using approved payment methods.

8.2 Credit Value

The value of Credits and the Credit cost of Services are displayed within the Platform and may be modified at our discretion. Current Credit pricing is displayed on the Platform's pricing page. Changes to Credit pricing will not affect Credits already purchased. However, the Credit cost of individual Services (such as report generation, project creation, or subscription fees) may change at any time. The updated cost applies at the time of use, not at the time of Credit purchase.

8.3 Payment Processing

Payments are processed through third-party payment providers. By making a payment, you agree to the terms and conditions of the applicable payment provider.

8.4 Taxes

All prices are inclusive of Value Added Tax (VAT) as required by the Zakat, Tax and Customs Authority (ZATCA) of Saudi Arabia. ZATCA-compliant invoices will be provided for all payments.

8.5 No Cash Value

Credits have no cash value and cannot be exchanged for cash, transferred to other accounts, or refunded except as expressly provided in these Terms.

9. Score Reports & Data

9.1 Report Generation

Score Reports are generated based on available data sources, including user-provided documents and third-party verification services. Reports reflect information available at the time of generation.

9.2 Consent-Based Access

Certain Reports require the approval of the subject Company. The Platform facilitates this approval process through scoring requests. Reports will not be generated without the subject Company's explicit approval through the Platform. Where a User requests a Report on their own Company, the act of requesting constitutes approval.

9.3 Report Usage

Reports are provided for informational purposes to assist in business decision-making. Users are solely responsible for how they use Report information and any decisions made based on such information.

9.4 No Guarantee

While we strive to provide accurate and current information, we do not guarantee the accuracy, completeness, or timeliness of any Report. Reports are based on data available at the time of generation, and data sources may contain delays, inaccuracies, or omissions beyond our control. Reports should not be the sole basis for any business decision. Reports do not constitute a recommendation, endorsement, or guarantee of any company's performance, reliability, or suitability for any purpose. ConTrust shall not be liable for any business decisions made, or actions taken or not taken, based on Report content.

9.5 Acceptable Use of Reports

You agree not to:

  • (a)Share Reports publicly or make them available to the general public through any medium;
  • (b)Use Report data to build, train, or improve any competing product or service;
  • (c)Scrape, bulk-download, or systematically extract data from Reports;
  • (d)Use Reports for any discriminatory purpose in violation of applicable law;
  • (e)Modify, alter, or create derivative works from Reports in a manner that misrepresents their content or source.

You may share Reports with authorized personnel within your organization and with professional advisors bound by confidentiality obligations, solely for legitimate internal business purposes.

Reports reflect data as of their generation date. Users should not rely on Reports as current beyond a reasonable period and are encouraged to request updated Reports for ongoing business decisions.

10. Supply Chain Projects

10.1 Project Creation

Users may create and manage supply chain projects within the Platform, subject to applicable subscription requirements and Credit costs.

10.2 Participant Invitations

Project creators may invite other registered Users to participate in their projects. Invited Users must accept the invitation before participating. By accepting, the invited Company agrees to be scored and assessed as part of the project's supply chain.

10.3 Information Sharing

By accepting a project invitation, Users consent to sharing their company profile and assessment information with upstream participants in that specific project, including the project owner. Scoring within supply chain projects requires separate approval through the Platform. Users may decline scoring requests at any time through the Platform. To revoke ongoing access or leave a project, Users may contact support@contrust.sa or request removal through their inviting company.

10.4 Supply Chain Scoring and Recurring Charges

By accepting a supply chain project invitation and completing the initial scoring payment, you consent to automatic recurring scoring charges at the intervals and rates displayed within the Platform at the time of each renewal. Recurring charges will be deducted from your wallet balance automatically. You may stop recurring charges at any time by revoking access or contacting support. If your wallet balance is insufficient at the time of renewal, the renewal will fail and your score visibility in the project may be affected.

10.5 Project Data

Each party retains ownership of data they contribute to a project. The project creator has administrative control over the project workspace. ConTrust may use anonymized and aggregated project data for service improvement and analytics purposes.

10.6 APIs and Integrations

Access to any application programming interfaces (APIs), integrations, or developer tools provided by ConTrust is subject to additional terms that will be communicated at the time of access.

10.7 Feedback and Reviews

The Platform may allow users to submit feedback and reviews about other companies. By submitting feedback, you represent that:

  • (a)Your feedback is accurate, truthful, and based on genuine business experience;
  • (b)You will not submit defamatory, misleading, or malicious content.

ConTrust reserves the right to moderate, edit, or remove any feedback at its sole discretion without prior notice. ConTrust is not responsible for the accuracy or content of user-submitted feedback. Companies that are the subject of feedback may not demand removal of accurate feedback solely because it is unfavorable.

11. Data Sources & Verification

11.1 Data Sources

ConTrust obtains data from the following sources:

  • (a)Documents uploaded by users during onboarding and ongoing use of the Platform;
  • (b)Third-party verification services for anti-money laundering (AML) and Know Your Business (KYB) compliance checks;
  • (c)Authoritative government registries and regulatory data sources as integrated from time to time.

11.2 Verification

ConTrust verifies user-provided data through automated document analysis and third-party compliance checks. Certain data points displayed in Reports are self-reported by the subject Company and are labeled accordingly (e.g., "Reported by Company"). ConTrust does not independently verify all self-reported information.

11.3 Source Updates

Data sources and verification methodologies may be updated, added, or removed at our discretion to improve service quality and accuracy.

11.4 Distributed Ledger Anchoring

To ensure the integrity and tamper-resistance of certain platform records, ConTrust anchors cryptographic hashes of audit trails and report data to a public distributed ledger (Hedera Consensus Service). Only cryptographic hashes are written to the ledger — no personal data, company data, or report content is stored on the distributed ledger. This process does not constitute a transfer of personal data. Records anchored to the distributed ledger are immutable once written and cannot be modified or deleted. Users acknowledge that the immutability of ledger records means that cryptographic hashes cannot be removed even upon account termination or data deletion requests, as the hashes alone cannot identify any person or company.

12. Accuracy & Limitations of Information

12.1 Information "As Is"

All information provided through the Services is provided "as is" and "as available." While we make reasonable efforts to ensure accuracy, we cannot guarantee that all information is complete, accurate, or current.

12.2 Third-Party Data

Much of our data originates from third-party sources. We are not responsible for errors, omissions, or delays in information provided by third parties.

12.3 Not Professional Advice

The Services do not constitute legal, financial, or professional advice. Users should consult qualified professionals before making significant business decisions.

12.4 User Verification

Users are encouraged to independently verify critical information before relying on it for important decisions.

13. Prohibited Activities

You agree not to:

  • (a)Use the Services for any illegal purpose or in violation of any applicable law or regulation;
  • (b)Attempt to gain unauthorized access to any part of the Services, other accounts, or computer systems;
  • (c)Use any automated means to access the Services or collect data without our express written permission;
  • (d)Interfere with or disrupt the Services or servers or networks connected to the Services;
  • (e)Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity;
  • (f)Share, sell, or transfer your Account credentials to any third party;
  • (g)Use the Services to harass, abuse, or harm another person or entity;
  • (h)Use information obtained from the Services to discriminate against any person or entity in violation of applicable law;
  • (i)Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without our express written permission;
  • (j)Circumvent, disable, or otherwise interfere with security-related features of the Services;
  • (k)Use the Services in any manner that could damage, disable, overburden, or impair the Services;
  • (l)Use the Services in connection with any corrupt, fraudulent, or illegal activity, including but not limited to bribery, kickbacks, or money laundering;
  • (m)Use information obtained from the Services to build, train, or improve any product or service that competes with ConTrust.

14. User Data

14.1 Data You Provide

You retain ownership of data you provide to ConTrust. By providing data, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and store such data as necessary to provide the Services.

14.2 Data Accuracy

You are responsible for ensuring that data you provide is accurate, current, and complete. You agree to promptly update any data that becomes inaccurate or incomplete.

14.3 Data Backup

While we implement reasonable data protection measures, you are responsible for maintaining your own backups of important data.

14.4 Data Retention

We retain User data in accordance with our Privacy Policy and applicable law. Upon account termination, data may be retained for a period as required by law or for legitimate business purposes.

15. KYB Document Requirements

15.1 Required Documents

During registration and ongoing use of the Services, you may be required to provide certain Know Your Business (KYB) documents for verification purposes. The specific documents required may vary based on your Company role and may be updated from time to time.

15.2 Document Validity

You are responsible for ensuring that all documents provided are valid, current, and authentic. You must promptly provide updated documents when existing documents expire or become invalid.

15.3 Verification Process

We reserve the right to verify all documents provided and to request additional documentation at any time. Failure to provide valid documentation may result in suspension or limitation of Services.

15.4 Document Storage

Documents are stored securely in accordance with our Privacy Policy and applicable data protection laws.

16. Intellectual Property Rights

16.1 ConTrust Property

The Services, including all content, features, functionality, software, text, displays, images, video, audio, design, and the selection and arrangement thereof, are owned by ConTrust, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

16.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

16.3 Restrictions

You may not:

  • (a)Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information or content obtained from the Services;
  • (b)Use any ConTrust trademarks, logos, or service marks without our prior written consent;
  • (c)Remove any copyright, trademark, or other proprietary notices from any content.

16.4 Feedback

Any feedback, suggestions, or ideas you provide regarding the Services may be used by us without any obligation to you.

17. Confidentiality

17.1 Confidential Information

Each party agrees to maintain the confidentiality of any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential.

17.2 Exceptions

Confidentiality obligations do not apply to information that:

  • (a)Is or becomes publicly available through no fault of the receiving party;
  • (b)Was rightfully known to the receiving party prior to disclosure;
  • (c)Is rightfully obtained from a third party without restriction;
  • (d)Is independently developed without use of confidential information;
  • (e)Is required to be disclosed by law, provided reasonable notice is given.

17.3 Report Confidentiality

Score Reports contain confidential business information. The permitted use and sharing of Reports is governed by Section 9.5 (Acceptable Use of Reports).

18. Privacy & Data Protection

Your privacy is important to us. Our collection, use, and protection of personal data is governed by our Privacy Policy, available at contrust.sa/privacy and incorporated into these Terms by reference.

18.1 Data Processing Roles

With respect to data you provide to ConTrust (such as company information, documents, and user details), ConTrust acts as a data processor, processing such data on your behalf and in accordance with your instructions as necessary to provide the Services. With respect to Score Reports, analytics, and other outputs generated by ConTrust, ConTrust acts as a data controller.

18.2 Cookies and Tracking

For information about cookies and similar technologies, please refer to our Cookie Policy, available at contrust.sa/cookies.

18.3 Consent

By using the Services, you consent to the collection and use of your information as described in our Privacy Policy.

18.4 Data Subject Rights

Under the Saudi Personal Data Protection Law (PDPL), you have the right to:

  • (a)Access your personal data held by ConTrust;
  • (b)Request correction of inaccurate data;
  • (c)Request deletion of your data, subject to legal retention requirements;
  • (d)Request portability of your data in a structured format;
  • (e)Withdraw consent for processing where consent is the lawful basis.

18.5 Lawful Basis for Processing

ConTrust processes personal data on the following bases:

  • (a)Performance of the agreement between you and ConTrust;
  • (b)Compliance with legal obligations under Saudi law;
  • (c)Legitimate business interests in providing and improving the Services;
  • (d)Your explicit consent where required.

18.6 Breach Notification

In the event of a personal data breach, ConTrust will notify the relevant authorities without undue delay upon becoming aware of the breach, and will notify affected users immediately where the breach poses a risk of serious harm, in accordance with PDPL requirements.

18.7 Cross-Border Data Transfers

ConTrust stores and processes data primarily within the Kingdom of Saudi Arabia. Where data is transferred outside Saudi Arabia, ConTrust will ensure adequate safeguards are in place in accordance with PDPL requirements.

19. Subscription & Billing

19.1 Subscription Plans

Certain Services may require a subscription. Subscription terms, features, and pricing are displayed within the Platform and may be modified from time to time.

19.2 Billing Cycle

Subscriptions are billed in advance on a recurring basis according to the billing cycle selected at the time of purchase.

19.3 Automatic Renewal

Subscriptions automatically renew unless cancelled before the end of the current billing period. You may cancel your subscription through the Platform or by contacting support@contrust.sa.

19.4 Price Changes

We reserve the right to modify subscription prices at any time. Updated pricing will be displayed within the Platform. Price changes will take effect at the start of the next billing cycle and will not affect the current active billing period.

20. Refunds & Credit Expiry

20.1 Refund Policy

Credits are generally non-refundable. Refunds may be issued at our sole discretion in cases of:

  • (a)Technical errors that prevented service delivery;
  • (b)Duplicate charges;
  • (c)Other circumstances as determined by ConTrust.

20.2 Denied Requests

If a scoring request is denied by the subject Company or expires without response, the Credits charged for that request will be refunded to your Account.

20.3 Credit Expiry

Credits do not expire while your Account remains active and in good standing. Credits on Accounts that have been inactive for more than twenty-four (24) consecutive months may be subject to expiry following thirty (30) days' notice via email to the registered email address. Upon Account termination, any remaining Credits will be forfeited.

20.4 Subscription Cancellation

No refunds will be provided for partial subscription periods. Upon cancellation, you will retain access to subscription features until the end of the current billing period.

21. Term and Termination

21.1 Term

These Terms remain in effect until terminated by either party.

21.2 Termination by You

You may terminate your Account at any time through the Platform settings. Upon initiating termination, your Account will enter a thirty (30) day grace period during which you may cancel the termination request and restore your Account. After the grace period, your Account and associated data will be permanently deleted. No refunds will be issued for any remaining Credits or active subscriptions upon termination.

21.3 Termination by Us

We may suspend or terminate your Account immediately, without prior notice or liability, for any reason, including but not limited to:

  • (a)Breach of these Terms;
  • (b)Fraudulent, abusive, or illegal activity;
  • (c)Non-payment of fees;
  • (d)Extended period of inactivity;
  • (e)Request by law enforcement or government agency;
  • (f)Discontinuation of the Services.

21.4 Effect of Termination

Upon termination:

  • (a)Your right to use the Services will immediately cease;
  • (b)All outstanding fees become immediately due;
  • (c)Remaining Credits will be forfeited;
  • (d)We may delete your Account data after the retention period specified in our Privacy Policy.

21.5 Survival

Provisions of these Terms that by their nature should survive termination will survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

22. Modifications and Interruptions

22.1 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

22.2 Service Interruptions

We do not guarantee that the Services will be available at all times. ConTrust does not guarantee any specific level of availability, uptime, or performance. We may experience hardware, software, or other problems, or need to perform maintenance, resulting in interruptions, delays, or errors.

22.3 No Liability

We will not be liable for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuation.

22.4 No Service Level Agreement

No service level agreement, uptime guarantee, or performance commitment is provided unless separately agreed in writing between ConTrust and the User.

23. Corrections

We reserve the right to correct any errors, inaccuracies, or omissions in the Services or any content, and to change or update information at any time without prior notice.

24. Disclaimer

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CONTRUST DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • (A)THE SERVICES WILL MEET YOUR REQUIREMENTS;
  • (B)THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
  • (C)THE RESULTS OBTAINED FROM THE SERVICES WILL BE ACCURATE OR RELIABLE;
  • (D)ANY ERRORS IN THE SERVICES WILL BE CORRECTED.

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

25. Limitations of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

  • (A)IN NO EVENT SHALL CONTRUST, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.
  • (B)OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
  • (C)THE LIMITATIONS IN THIS SECTION APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

26. Indemnification

You agree to defend, indemnify, and hold harmless ConTrust, its directors, employees, partners, agents, suppliers, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • (a)Your violation of these Terms;
  • (b)Your use of the Services;
  • (c)Your violation of any rights of a third party;
  • (d)Your violation of any applicable law or regulation;

  • (f)Any misrepresentation made by you.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

27. Electronic Communications, Transactions, and Signatures

By using the Services, you consent to receive electronic communications from us, including but not limited to emails, and in-platform notifications. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

You consent to the use of electronic signatures, contracts, orders, and records, and to electronic delivery of notices, policies, and records of transactions initiated or completed through the Services.

28. Dispute Resolution

28.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at support@contrust.sa to attempt to resolve the dispute informally. We will attempt to resolve the dispute by contacting you via email. If a dispute is not resolved within thirty (30) days of submission, either party may proceed to formal dispute resolution.

28.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services that cannot be resolved informally shall be finally settled by arbitration in accordance with the rules of the Saudi Center for Commercial Arbitration (SCCA). The arbitration shall be conducted in Riyadh, Kingdom of Saudi Arabia. The language of the arbitration shall be Arabic, with English translation available upon request.

28.3 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

29. Governing Law & Jurisdiction

29.1 Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to its conflict of law provisions.

29.2 Jurisdiction

Subject to the arbitration provisions above, you agree to submit to the exclusive jurisdiction of the courts located in Riyadh, Kingdom of Saudi Arabia, for the resolution of any disputes.

29.3 Compliance with Saudi Law

You agree to comply with all applicable laws and regulations of the Kingdom of Saudi Arabia in your use of the Services, including but not limited to the Anti-Cyber Crime Law, the Personal Data Protection Law, and regulations issued by the Zakat, Tax and Customs Authority (ZATCA).

30. Miscellaneous

30.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and ConTrust regarding the Services and supersede all prior agreements and understandings.

30.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.

30.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of ConTrust.

30.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

30.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

30.6 Force Majeure

We will not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

30.7 Third-Party Data Source Availability

ConTrust relies on third-party data sources and verification services to provide certain features of the Services. If any third-party data source becomes unavailable, changes its data format or access terms, or experiences delays or errors, ConTrust shall not be liable for any resulting degradation, delay, or interruption of the Services. This applies regardless of whether the third-party disruption qualifies as a force majeure event.

30.8 Language

These Terms are provided in English. In the event of any conflict between the English version and any translation, the English version shall prevail. However, for legal proceedings in Saudi Arabia, an Arabic translation may be required and shall be given appropriate consideration.

30.9 Headings

The headings in these Terms are for convenience only and do not affect the interpretation of these Terms.
